NLFI reduces stake in ABN AMRO to below one-third

Stichting administratiekantoor beheer financiële instellingen (“NLFI”) has reduced its total stake (shares and depositary receipts) in ABN AMRO Bank N.V. (“ABN AMRO”) below one-third of the outstanding capital of ABN AMRO. Please see also the press release of ABN AMRO.

With NLFI’s stake falling below one-third, certain rights of NLFI as laid down in the articles of association and trust conditions of Stichting Administratiekantoor Continuïteit ABN AMRO Bank (“STAK”) will no longer be applicable. Please be referred to the articles 3.1.3., 6.1.1. (only the specific part relating to NLFI’s approval right), 8.1.5., 8.2.8. of STAK’s trust conditions and to article 5.3.6. of STAK’s articles of association.
